Welcome to Arecle (“Company,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your use of our IT software services, products, and solutions. By engaging with our services, you agree to comply with these Terms. If you do not agree, please refrain from using our services.
1. Definitions
- Client: The individual or entity using our IT software services.
- Services: Includes but is not limited to software development, maintenance, support, consulting, and any other IT-related solutions provided by us.
- Agreement: The contract between the Client and the Company, including these Terms.
2. Scope of Services
- We provide IT software solutions as per the agreement with the Client.
- Any additional services requested by the Client beyond the agreed scope may require separate charges and agreements.
3. Client Responsibilities
- The Client must provide all necessary information and access required for service delivery.
- The Client is responsible for ensuring that their use of our services complies with all applicable laws and regulations.
4. Payment Terms
- Fees for services will be outlined in a separate agreement or invoice.
- Payments must be made within the stipulated timeframe as per the invoice.
- Late payments may result in service suspension or additional charges.
5. Confidentiality
- Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement.
- Confidential information must not be disclosed to third parties without prior written consent.
6. Intellectual Property
- All intellectual property rights in software, documentation, and deliverables remain with the Company unless otherwise stated in a separate agreement.
- The Client may receive a license to use the software as per the agreed terms.
7. Service Level and Support
- We strive to provide services in accordance with industry standards.
- Any support or maintenance services will be as per the service level agreement (SLA) or separate contracts.
8. Limitation of Liability
- We are not liable for any indirect, incidental, or consequential damages arising from the use of our services.
- Our liability is limited to the amount paid by the Client for the services in dispute.
9. Termination
- Either party may terminate the agreement with prior written notice as specified in the contract.
- Termination does not absolve the Client from payment obligations for services rendered before termination.
10. Force Majeure
- We are not liable for service failures due to events beyond our control, including natural disasters, cyber-attacks, or government actions.
11. Governing Law
- These Terms shall be governed by the laws of Punjab, India.
- Any disputes will be resolved through arbitration or courts in Punjab, India.
12. Amendments
- We reserve the right to modify these Terms at any time.
- Continued use of our services after changes implies acceptance of the updated Terms.
